Terms and Conditions

1. Introduction & Scope

STONELUX, operated by Stone Solutions and Design LLC, supplies natural stone, porcelain slabs, and related materials exclusively to trade professionals, contractors, designers, and commercial customers (“Customers,” “you,” or “your”). By accessing stonelux.com, the STONELUX B2B mobile app, or placing an order, you (“Customer”) agree to these Terms and Conditions (“Agreement”) and our Privacy Policy.

This Agreement constitutes a binding contract between the Customer and STONELUX. All transactions are governed by the laws of the Commonwealth of Virginia.

2. Eligibility & Account Registration

• You represent that you are a legitimate business entity or trade professional (contractor, designer, fabricator, installer).
• STONELUX may require business documentation (license, tax ID, or trade reference) before account approval.
• You are responsible for maintaining the confidentiality of your login credentials.
• Any unauthorized use of your account must be reported immediately to info@stonelux.com.
• STONELUX reserves the right to suspend or terminate any account that violates these Terms or engages in fraudulent activity.

3. Quotes, Orders, and Pricing

3a. Quotes & Estimates

• All quotes are valid for 30 days unless otherwise noted.
• Pricing is subject to change without notice. Final pricing is confirmed in the sales order or invoice.
• Price discrepancies reported after material is released for pickup or shipment may not be honored unless STONELUX is at fault.

3b. Order Confirmation

• An order is binding once STONELUX issues a sales order confirmation (SO).
• Customer purchase orders (POs) submitted via website, app, or email are subject to review and acceptance by STONELUX.
• We reserve the right to decline any order for business reasons (credit risk, product availability, etc.).

3c. Custom Orders & Fabrication

• Orders for cut-to-size, fabricated, or custom-processed materials are non-refundable and non-returnable.
• Customer is responsible for verifying dimensions and specifications before fabrication begins.
• Once cutting or processing has started, cancellation or refund is not available.

4. Payment & Credit Terms

4a. Payment Methods

• Credit/debit card
• ACH transfer
• Net terms (subject to credit approval)

4b. Credit Accounts

• Credit terms are extended at STONELUX's discretion after reviewing trade references, financials, and credit history.
• Default terms: Net 30. Late payments incur a 1.5% monthly finance charge (18% APR).
• Past-due accounts may result in suspension of future orders and/or legal collection action.

4c. Deposits

• STONELUX may require deposits (typically 50%) for custom or large orders.
• Deposits are non-refundable once materials are sourced or fabrication begins.

5. Shipping, Delivery, and Risk of Loss

5a. FOB Terms

All products ship FOB Warehouse (Sterling, VA or as otherwise specified). Risk of loss transfers to the Customer once the material is tendered to the carrier. Customers are responsible for freight insurance and damage claims with the carrier.

5b. Delivery Conditions

• Customer must provide safe, level truck access and off-load equipment (forklift or crane).
• Liftgate, inside delivery, or redelivery are subject to additional charges paid by the Customer.
• Delivery time estimates are not guaranteed. STONELUX is not liable for delays due to carrier issues, weather, or supplier backorders.

5c. Inspection at Delivery

• Customer must inspect all materials upon delivery in the carrier's presence.
• Note any damage or shortage on the delivery receipt and photograph immediately.
• Damage claims must be reported within 24 hours to info@stonelux.com. Claims submitted after 24 hours may not be honored.

6. Returns & Cancellations

Returns and cancellations are governed by our Commercial Returns & Damage Claims Policy, which is incorporated into these Terms by reference.

Summary:

• Stock materials: returnable within 14 days (25% restocking fee, Customer pays freight).
• Custom orders: not returnable.
• Cancellations: allowed within 24 hours of order placement (fees may apply).

7. Product Specifications & Natural Variation

7a. Natural Stone Variation

Natural stone and porcelain products exhibit variation in color, veining, texture, shade, and finish. These variations are inherent to the material and not defects.

Customer is responsible for reviewing samples, approving lot selections, and accepting natural variation.

7b. No Warranty on Natural Materials

Natural stone products carry no warranty unless explicitly stated on the sales order. Man-made materials (porcelain, composite, resin-based) may be covered by manufacturer warranty only.

7c. No Claims After Installation

Installation of material signifies acceptance of shade, veining, texture, and finish. STONELUX is not responsible for claims after installation has begun.

8. Overage & Waste Allowance

Customer should order 10-15% extra material to account for cuts, breakage, and pattern matching. Partial leftover materials or off-cuts are not returnable.

9. Limitation of Liability

STONELUX's liability is limited to the purchase price of defective or incorrectly shipped material. We are not liable for:

• Indirect, incidental, consequential, or punitive damages
• Labor, installation, removal, or replacement costs
• Loss of business, revenue, or profit
• Claims made after installation
• Natural stone variation or inherent material characteristics

Maximum liability: amount paid for the affected material.

10. Intellectual Property & Content Use

• All content on stonelux.com and the STONELUX app (images, product descriptions, videos, logos) is the property of STONELUX or its licensors.
• Reproduction, distribution, or commercial use of STONELUX content without written permission is prohibited.
• Product photos are for reference only and may not reflect exact color or pattern due to natural variation.

11. Compliance with Laws & Sales Tax

11a. Sales Tax

STONELUX collects and remits sales tax as required by Virginia law and applicable state/local regulations. Tax-exempt customers must provide a valid resale certificate or exemption form.

11b. Customer Compliance

Customer agrees to comply with all applicable laws, including labor, safety, environmental, and building codes related to the use, handling, and installation of stone products.

12. Data Protection & Privacy

STONELUX is committed to protecting the privacy and security of our customers' business information. Our Privacy Policy complies with the Virginia Consumer Data Protection Act (VCDPA), California Consumer Privacy Act (CCPA / CPRA), and applicable U.S. federal laws.

By using our Services, you consent to the collection, use, and disclosure of information as outlined in our Privacy Policy.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of STONELUX Services shall be resolved exclusively in state or federal courts located in Loudoun County, Virginia. You consent to the personal jurisdiction of such courts.

14. Changes to These Terms

STONELUX reserves the right to modify these Terms at any time. Material changes will be communicated by updating the “Last Updated” date and, where appropriate, emailing registered customers.

Continued use of the Services after changes signifies acceptance of the revised Terms.

15. Severability & Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

These Terms, along with our Privacy Policy and Commercial Returns & Damage Claims Policy, constitute the entire agreement between STONELUX and the Customer regarding the use of our Services and the purchase of products.
